Acceptance
This Agreement contains the complete terms and conditions that apply to your purchase of merchandise from Valence Technology, Inc. ("Valence"). By making a purchase, you are confirming that you have read this Agreement and that you agree to be bound by the terms and conditions contained herein. Please read this Agreement carefully before purchasing a product from Valence through its website.

Terms of Payment
Payments may only be made using a credit card. The credit card holder/user must be the same person as the name printed on the card (owner of the card and account), and the credit card holder must be available to sign for the shipment upon delivery. All credit card fraud will be pursued and enforced to the fullest extent punishable by law.

Prices
All prices listed on our website are quoted with shipping charges included. Prices and specifications are subject to change without notice, therefore always check prices before making a purchase.

Back Orders
If Valence is unable to immediately fill your entire order, the shipment will be placed on back order. We will do our best to ship all orders on a timely basis.

Taxes
Unless otherwise stated herein, the prices listed on our website do not include customs duties or sales, use, excise, or other similar taxes. You may be required to pay, in addition to the prices quoted, the amount of any present or future customs duties or sales, use, excise or other similar tax applicable to the merchandise covered by this Agreement.

Shipping
Once your order has been placed with us, you will be given a confirmation via e-mail. Once your order has shipped, you will be provided with the carrier's tracking number so that you may track your order during shipping. If there is a problem with your order, we will contact you promptly via e-mail. All deliveries are subject to the policies and procedures of Valence and are subject to change without prior written notice. Any estimated delivery date provided is approximate only, and Valence shall not be liable for or held in breach due to any delivery made within a reasonable time before or after the estimated delivery date.

Inspection and Acceptance
If we ship in error, please contact Valence at 1-888-VALENCE within 72-hours of receiving your merchandise to arrange for pickup and re-shipment of the correct merchandise, at no charge to you.

Returns
If you are not completely satisfied with your purchase for any reason, return the merchandise, in "like new" condition, within thirty (30) days of receipt for an exchange or refund. Return shipping freight charges are your responsibility. To return merchandise, contact Valence at 1-888-VALENCE for a RETURN MATERIAL AUTHORIZATION (R.M.A.) NUMBER and shipping instructions.

Refunds will be credited to the credit card that was used at the time of the initial order. Once we receive the returned merchandise, please allow 1 to 2 billing cycles for the credit to appear on your statement. The original shipping and handling charges are non-refundable; tax will be automatically calculated and refunded based on the amount of the return. All authorized returns may be subject to a 10% restocking fee.

Damage Claims
All merchandise is shipped using carrier-approved materials and methods. All merchandise is also carefully packed to prevent damage during shipment. Nevertheless, damage may occasionally occur in transit. Any damage in shipment is the responsibility of the carrier, not Valence. Therefore, all damage claims must be made by you to the carrier. All merchandise shipped by or on behalf of Valence is insured.

In case of damage, retain all cartons, packing materials and damaged merchandise for the carrier to inspect. Never refuse shipment or return it without approval since your right to make a damage claim may be denied. If the damage is apparent upon receipt, accept the merchandise and note the damage and irregularities (such as crushed, torn or broken packing) on the freight bill and have the driver sign it as verification. If the damage is not readily apparent at the time of arrival (where the box is intact but the merchandise inside is damaged), then it must be reported to the carrier within 24-hours after receipt of shipment. After inspecting the damaged merchandise, the carrier will determine what course of action to take. All disputes as to the settlement amount or manner must be addressed with the carrier. Valence, under no circumstances, shall be liable for the damaged merchandise or for subsequent settlement of the claim with the carrier.

Use in Life Support Applications
You are not authorized to use any merchandise supplied under this Agreement in any Life Support Application without the express written consent of Valence. Life Support Applications include, but are not limited to: (i) a device to be implanted in a human body; and/or (ii) a system or device, which supports or monitors a human life, such that its failure could cause serious injury or death.

Miscellaneous
1. This Agreement was entered into in the State of Nevada and its validity, construction, interpretation and legal effect shall be governed by the laws and judicial decisions of the State of Nevada applicable to contracts entered into and performed entirely within the State of Nevada. The prevailing party in any action or proceeding between the parties arising out of or related to this Agreement, shall be entitled to recover its reasonable legal consultation and representation fees and costs incurred in connection with any such action or proceeding. Any dispute arising under this Agreement shall be resolved by binding arbitration under the Commercial rules of the American Arbitration Association (AAA) in Clark County, Nevada.

2. No waiver or amendment of any of the provisions hereof shall be binding on Valence unless made in a writing expressly stating that it is such a waiver or amendment and signed by an authorized representative of Valence.

3. We reserve the right to modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site.
